Trucking Company Agreement

This Agreement is entered into between Jelpala (jelpala.com, “Jelpala”) and the Trucking Company (“Trucking Company”) for the purpose of mutual cooperation, whereby the Trucking Company allows its affiliated drivers to voluntarily access additional income opportunities through the Jelpala platform without modifying its existing transportation operations, dispatch structure, or legal responsibilities. This Agreement does not impose any new legal duties or obligations on the Trucking Company, nor does participation in the Jelpala service expand, replace, or alter the Trucking Company’s existing scope of liability, regulatory obligations, or insurance arrangements.

Article 1 (Nature of the Jelpala Service)

Jelpala operates solely as an independent digital marketplace and technology platform that connects Users and Drivers. Jelpala does not operate as a carrier, broker, freight forwarder, employer, or transportation service provider.

The Jelpala service is an ancillary, optional service in which Drivers may pick up and drop off parcels at designated truck stops along their existing routes. Participation in the Jelpala service does not affect the Trucking Company’s primary transportation operations, dispatching, routing, or work instructions.

Driver participation in the Jelpala service is entirely voluntary, performed in a personal capacity, and occurs outside the Trucking Company’s dispatch control or operational systems. The Trucking Company neither requires nor directs such participation.

Participation in the Jelpala service shall have no impact on ELD records, Hours of Service (HOS) compliance, safety ratings, regulatory reporting, or compliance scoring applicable to the Trucking Company or its drivers.

Article 2 (Definitions)

  • “Driver” means an individual affiliated with the Trucking Company who voluntarily performs Jelpala services in a personal capacity through the Jelpala platform.
  • “User” means an individual or legal entity requesting parcel delivery services through the Jelpala platform.
  • “Performance of Jelpala Services” means the act of picking up or dropping off Jelpala parcels at truck stops, independent of vehicle operation, dispatch control, or transportation services.
  • “Premium Service” means any special or enhanced service separately announced and operated by Jelpala under additional terms.

Article 3 (Role and Scope of Responsibility of the Trucking Company)

The Trucking Company shall not be involved in dispatching, routing, transportation instructions, operational management, user communications, compliance enforcement, or claim handling related to the Jelpala service.

Participation by Drivers in the Jelpala service does not require the Trucking Company to modify any existing employment relationships, transportation contracts, insurance policies, or regulatory filings.

All responsibilities toward Users arising from the Jelpala service shall be borne solely by Jelpala, independent of the Trucking Company.

For the avoidance of doubt, the Trucking Company assumes no responsibility for cargo custody, cargo insurance, third-party claims, regulatory exposure, or user-related liabilities arising from the Jelpala service.

The Trucking Company has no obligation to supervise, monitor, instruct, or enforce compliance with respect to any Driver’s participation in the Jelpala service.

Article 4 (Fees & Settlement Notice)

The following fee structure and settlement process apply to participating Trucking Companies:

  • The truck company receives 10% of the driver’s base service payout for each completed service.
  • This fee is paid each time a driver completes a service under the truck company.
  • Driver additional earnings, including waiting fees, cancellation fees, and bonuses, are not shared with the truck company.

Settlement Periods:

  • From the 1st to the 15th of each month
  • From the 16th to the last day of each month

Payment: Fees are paid within five (5) business days after the end of each settlement period to the registered bank account of the truck company.

Article 5 (Insurance, Liability, and Indemnification)

1. Parcel Loss or Damage: All parcels handled through the Jelpala platform are insured under Jelpala’s own cargo insurance policies. In the event of loss or damage, Jelpala shall bear 100% of responsibility toward the User. The Trucking Company shall bear no legal or financial liability.

2. Traffic Accidents and Third-Party Claims: Traffic accidents, collisions, bodily injury, or property damage arising from vehicle operation shall continue to be handled through the commercial automobile insurance of the Trucking Company or the Driver, as applicable.

3. Prohibited and Regulated Cargo: Jelpala strictly prohibits the transport of illegal, prohibited, or regulated goods. Neither trucking companies nor drivers assume responsibility for prohibited items detected within the system.

Article 6 (Claims and Dispute Resolution)

All User claims, compensation requests, and disputes arising in connection with the Jelpala service shall be handled exclusively by Jelpala. The Trucking Company shall not be required to participate in such disputes and shall not be subject to any related liability.

Article 7 (Privacy and Data Protection)

Jelpala shall securely manage all corporate information and driver rosters in compliance with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable laws.

Such information shall be used solely for service operations and shall not be disclosed to third parties without prior consent, except where legally required.

Article 8 (Term and Termination)

This Agreement becomes effective immediately upon completion of the Trucking Company’s registration.

The Trucking Company may terminate this Agreement at any time, for any reason, by written notice (including email), without penalty or adverse consequence beyond settlement of accrued and undisputed fees.

Article 9 (Governing Law and Miscellaneous)

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
